Terms and Conditions: Writing with Victoria

These terms and conditions apply to the services provided under the Writing with Victoria trading name including, as the case may be but without limitation, coaching sessions, editorial services, manuscript assessments and/or advice about how to pitch to an agent or publisher (including assistance with the preparation of a submission package) (“Services”).
By using any Service, you confirm that you have read and understood these terms and conditions and agree to be bound by and comply with them.
References to “us” or “we” within these terms and conditions are to any individual or entity providing all or part of a Service under the Writing with Victoria trading name.
You agree to pay the fee for any Service, plus any applicable taxes, prior to the commencement of the Service or otherwise as may be agreed between you and us. You agree to pay any banking, wire or transfer fees as well as any withholdings required or imposed by any governmental or taxing authority such that the fee actually received by us is equal to the invoiced amount. We are entitled to recover, on a full indemnity basis, any costs incurred by us in connection with overdue payments.
You acknowledge and accept that services of the sort provided under the Writing with Victoria trading name are highly subjective and individual as is the measurement and qualification of outcomes and success. Outcomes remain subject to many and varied factors, most of which are not within your or our control, including individual effort, skill, experience, prevailing market conditions and trends. Accordingly, we make no representations, warranties or guarantees regarding any specific outcome, including publication, representation by a literary agent, commercial success, income, recognition or any other result.
You agree that any Service is for your personal or professional use only and that you may not record any Service, in whole or in part, distribute/disseminate the content or deliverable of any Service or use any Service for purposes of providing a similar service to others and/or in competition with Writing with Victoria.
You represent and warrant that you own the copyright in any ‘work’ provided to us for purposes of any Service and that such ‘work’ does not infringe the copyright of any third party. Unless expressly stated otherwise, all copyright of your ‘work’ remains your property. ‘work’ is defined as any material, whether in draft or final form, created by you and includes, without limitation, complete manuscripts and extracts, synopses, outlines, treatments and summaries; prior drafts, notes, research materials and sample pages and/or any original content you create and share with us. An irrevocable licence to use the copyright of any contribution we make to any such work is granted to you in consideration of payment in full of the fee for the relevant Service.
Services are provided remotely via an online interface. Whilst we will endeavour to be as flexible as possible, we reserve the right to cancel a session or Service, or treat the session or Service as cancelled, in which case the fee for that session or Service will be remain payable if: (i) you do not provide at least 24 hours’ notice of the cancellation of a session; (ii) you are not available to commence a session within 15 (fifteen) minutes of its scheduled start time; (iii) material agreed to be provided for a session or Service is not provided by any agreed deadline; or (iv) your treatment of us is reasonably deemed by us to be unprofessional or abusive.
We may decline to provide any Service, or cease providing a Service, for any reason, in our sole and absolute discretion. In such circumstances, we will refund any prepaid fees less a reasonable amount on account of work undertaken and deliverables provided prior to such decision.
The information provided when using any Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access a Service from outside of the United Kingdom do so at their own initiative and risk and are solely responsible for compliance with local laws.
You agree to indemnify and hold us harmless from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including, without limitation, reasonable legal fees and costs), arising out of or in connection with: (a) your use of the Services; (b) your breach or violation of any of these terms and conditions; (c) your violation of the rights of any third party (including, without limitation, breach of confidentiality or infringement of copyright); (d) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental or quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; or (e) any misrepresentations made by you. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, which shall not excuse your indemnity obligations. In such event, you shall provide us with such cooperation as is reasonably requested by us.
You represent and acknowledge that you have not relied on any statement, representation, warranty or promise in deciding to use any Service.
Any aspect of these terms and conditions which is prohibited or unenforceable in any jurisdiction will be deemed modified to the extent necessary to render it valid while preserving its original intent to the fullest extent possible. The foregoing will not invalidate the remaining provisions of these terms and conditions nor will it affect the validity or enforceability of that provision in any other jurisdiction.
No failure to exercise or a delay in exercising any right, power or remedy under these terms and conditions will operate as a waiver nor will any single or partial exercise of any right, power or remedy preclude any other or further exercise of that or any other right, power or remedy.
We reserve the right to alter these terms and conditions at any time by posting amended, restated or new terms and conditions on victoriaselmanauthor.com or otherwise providing such new terms and conditions to you directly. It is your responsibility to periodically review these terms and conditions to stay informed of updates to them.
The agreement of which these terms and conditions form part are governed by and shall be construed in accordance with English law. The Courts of England have exclusive jurisdiction to determine the outcome of any dispute arising between you and us.
